Foreign banks and counterparties expect a 'Certificate of Incumbency', a document Thai company law does not itself issue. We build it from the DBD company affidavit and the shareholder list, and the attorney certifies how it was prepared.

It sets out the company name, registration number, registered address, current directors, the binding-signature condition and the latest shareholder record — so foreign compliance teams can read the Thai corporate structure without interpreting a Thai-language extract.

The fee is THB 4,500 with roughly one business day turnaround, using a DBD affidavit issued within the last 30 days. Government extract fees are paid at cost, separately from our professional fee.

Frequently asked questions

How does it differ from the DBD affidavit?

The DBD affidavit is a Thai-language official extract; the Certificate of Incumbency restates the same facts in the English format foreign institutions expect.

Are all shareholders listed?

We follow the latest shareholder list; for widely held companies we can list only major holders if the recipient allows.

Can we use an older extract?

Foreign banks generally refuse extracts over 30 days old, so pull a fresh one before we start.

Do foreign-owned Thai companies qualify?

Yes, provided the company is Thai-registered and has a DBD affidavit.

Is consular legalisation needed?

Only if the recipient bank asks; then Consular Affairs followed by that country's embassy.

How long does it take?

Normally 1–2 business days after the fresh extract arrives, depending on shareholding complexity.
